Hamish Powell Studio Limited – Terms and Conditions
1. Introduction
These Terms and Conditions ("Terms") govern the provision of services by Hamish Powell Studio Limited, a company registered in the United Kingdom and Wales with company number 14263283, hereinafter referred to as "Hamish Powell Studio", "we", "our", or "us". By booking our services, the client ("you", "your") agrees to be bound by these Terms. Please read them carefully before proceeding.
2. Services Provided
The services provided by Hamish Powell Studio include, but are not limited to, the design, creation, and delivery of floral arrangements, event installations, and the hiring of props or other decorative items as outlined in your proposal ("Services"). All Services will be subject to these Terms, as agreed in the proposal and confirmed by us.
3. Agreement and Contract
The agreement between you and Hamish Powell Studio is formed upon acceptance of the proposal and the payment of any required deposit. These Terms are legally binding and supersede any previous agreements or representations made.
4. Availability and Substitution of Materials
While we will make every effort to source the specific flowers, foliage, and other materials requested, the availability of certain items may fluctuate due to factors beyond our control, such as seasonal changes or market conditions. In the event of unavailability, we reserve the right to substitute any item with a similar alternative of equal or greater quality and aesthetic value. We will make every reasonable effort to inform you of such changes.
5. Proposal and Design
Once the proposal is agreed upon, it will form the basis of the services provided. The proposal remains the intellectual property of Hamish Powell Studio and must not be shared, reproduced, or disclosed to any third party without our prior written consent. The designs and recommendations are provided in good faith but may be subject to minor changes depending on the availability of materials or external factors.
6. Pricing and Payment
a. Pricing: All prices are quoted based on current market conditions and availability at the time of the proposal. Prices are subject to change if there are fluctuations in material costs or other factors.
b. Deposit: For certain events, a non refundable 20% deposit is required to guarantee the company’s dedication to the event.
c. Late Payment: If payment is not paid by the indicated due date, we reserve the right to implement a 20% per month increase to the final due amount for every month in areers.
7. Cancellation Policy
a. Client Cancellations: If you cancel the booking after the deposit has been paid, the deposit is non-refundable. If you cancel within 14 calendar days before the event, you may be required to pay the full quoted amount.
b. Our Cancellations: We reserve the right to cancel or reschedule the event if unforeseen circumstances arise, including, but not limited to, force majeure, illness, or unavoidable delivery issues. In such cases, we will provide a full refund or reschedule the services for an alternative date, depending on your preference.
8. Delivery and Installation
a. Delivery: We will deliver the floral arrangements and other items as agreed in the proposal. Delivery times are based on our availability and the location of the event. Any changes to the delivery schedule should be communicated promptly.
b. Installation: If installation is part of the services, we will arrange for the setup of the floral designs and props at the agreed location. Any changes to the installation requirements should be made at least 7 days prior to the event date.
9. Responsibility for Items
a. Hired Items: If props, vases, or other items are hired from us, they must be returned on the agreed date. You are responsible for the care of these items from the time they are delivered until they are collected by us. Any lost or damaged items will be charged to you at full replacement cost.
b. Damage to Property: You are responsible for any damage caused to your property or the property of any third parties due to the installation of our floral designs or props. We are not liable for any damages beyond the floral arrangements and props provided by us.
10. Liability
a. Our Liability: We take great care in delivering high-quality products and services. However, we cannot be held liable for any loss or damage arising from the unavailability of flowers or materials, late deliveries, or events beyond our control, including but not limited to weather conditions, transport delays, or other force majeure events.
b. Client's Liability: You are responsible for ensuring that the event location is accessible and safe for installation and that our delivery team is granted access to the site at the designated time. We will not be liable for delays caused by inaccessible locations or any changes to the event location not communicated in advance.
11. Force Majeure
Neither party shall be liable for failure to perform any obligation under this agreement if the failure is caused by circumstances beyond their reasonable control, including, but not limited to, natural disasters, pandemics, strikes, or other acts of God.
12. Confidentiality
Both parties agree to maintain confidentiality regarding any proprietary or confidential information shared during the course of the agreement. This includes, but is not limited to, design concepts, business strategies, and pricing details.
13. Governing Law and Jurisdiction
These Terms and any dispute arising from the agreement shall be governed by and construed in accordance with the laws of [your jurisdiction]. Any legal proceedings will be subject to the exclusive jurisdiction of the courts of the United Kingdom and Wales.
14. Amendments
Hamish Powell Studio reserves the right to amend or update these Terms and Conditions at any time. Any amendments will be communicated to you in writing.
15. Acceptance
By confirming your booking and paying the deposit, you agree to be bound by these Terms and Conditions.
